Terms of Service

1. Acceptance of Terms

By using this website or engaging NexDam for any service, you confirm that you have read, understood, and agree to these Terms of Service and my Privacy Policy. NexDam is a software project and technical service operated under the NexDam name. If you do not agree, please do not use my website, platform, tools, or services.

2. Services

NexDam provides software tools and technical services for website monitoring, website health checks, non-invasive security scans, uptime monitoring, dashboards, technical reports, web development, web application development, Linux server setup and configuration, cloud optimisation, and related technical support.

The specific scope, deliverables, timeline, and price of each engagement are defined in a separate written agreement, project proposal, quote, or written approval.

• Services are delivered remotely unless otherwise agreed.
• NexDam reserves the right to decline any project request without explanation.
• Timelines stated during the quotation phase are estimates and may vary due to project complexity or client response times.
• NexDam does not provide absolute security guarantees and does not replace certified audits, full penetration tests, legal advice, privacy compliance advice, or incident response services unless agreed separately in writing.
• The client is responsible for providing accurate information, timely feedback, required materials, and access to the relevant accounts or systems.

3. User Account

To access the client dashboard and project tracking features, you must create an account. You are responsible for:

• Keeping your login credentials confidential.
• All activity that occurs under your account.
• Providing accurate and up-to-date registration information.

NexDam reserves the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Payments

Payment terms are specified in the individual project proposal. Unless otherwise agreed:

• A deposit may be required before work begins.
• Final payment is due upon project delivery or as invoiced.
• Late payments may result in work being paused until outstanding amounts are settled.
• All prices are in euros (€) and may be subject to applicable taxes.
• Final publication, transfer of source files, delivery of technical access, and final documentation may be withheld until all agreed amounts have been paid in full.
• Domain names, hosting, cloud services, databases, CMS platforms, email providers, payment gateways, ecommerce platforms, third-party APIs, and other external services are paid by the client unless otherwise agreed in writing.

5. Intellectual Property

Upon full payment, the client receives the rights to the custom code, text, visual assets, and deliverables created specifically for their project, only to the extent expressly described in the applicable proposal or agreement.

The client does not acquire ownership of NexDam's platform, dashboards, monitoring systems, agents, APIs, AI workflows, internal tools, reusable templates, proprietary components, security logic, automation systems, know-how, brand, logo, or product identity.

NexDam retains the right to:

• Reference the project in its portfolio (unless a non-disclosure agreement is in place).
• Reuse generic components, libraries, templates, workflows, design patterns, automation logic, and non-client-specific code in future projects.

Third-party libraries, frameworks, and tools used in the project are subject to their respective licences.

6. Acceptable Use

You agree not to use this website or NexDam's services to:

• Engage in any unlawful activity.
• Distribute malware, spam, or harmful content.
• Attempt to gain unauthorised access to NexDam's systems or third-party services.
• Reproduce, resell, or redistribute NexDam's proprietary code without written permission.

If you request monitoring, technical checks, or security scans for a domain, website, server, or system, you confirm that you own it or are authorised to request those activities. NexDam performs non-invasive checks unless a deeper activity is specifically authorised in writing.

7. Limitation of Liability

NexDam provides its services "as is" and makes no warranties, express or implied, regarding uninterrupted operation or fitness for a particular purpose.

NexDam does not guarantee that all vulnerabilities, misconfigurations, downtime events, malware, attacks, errors, or security incidents will be detected, prevented, or resolved.

NexDam is not responsible for issues caused by third-party providers, hosting platforms, registrars, CMS platforms, plugins, themes, libraries, client accounts, compromised credentials, changes made by the client or third parties, client-provided content, or failure to follow technical recommendations.

To the maximum extent permitted by law, NexDam shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services or website, including but not limited to loss of data, revenue, or business opportunities.

To the maximum extent permitted by law, NexDam's total liability for any claim related to a specific service is limited to the amount paid by the client for that specific service.

8. Termination

Either party may terminate an ongoing service engagement with written notice. Work completed up to the point of termination will be invoiced at the agreed rate. NexDam may suspend or terminate access to the client dashboard immediately in the event of non-payment, misuse, security risk, fraud, or breach of these Terms.

9. Changes to These Terms

NexDam may update these Terms at any time. The updated version will be published on this page with a revised date. Continued use of the website or services after changes constitutes acceptance of the new Terms.
